Terms of Service
Three things to know before you start:
- Payment: 50% upfront, 50% on delivery. No refunds after work begins.
- Revisions: 3 rounds included. Additional rounds at $75 each.
- Ownership: You own your published website. We retain source and working files.
1. Parties and Acceptance
These Terms of Service are a binding agreement between Alma Digital AI LLC and the individual or entity who purchases or uses our services at almadigitaldesigns.com.
By submitting payment or using our services, you agree to these Terms. If you do not agree, do not proceed.
2. Services

Scope
Specific deliverables are defined in your project agreement. Services not expressly included are excluded and may be quoted separately.
AI-Generated Deliverables
Our services use artificial intelligence tools to generate design concepts, copy suggestions, and layouts. By engaging our services, you acknowledge and consent to AI processing. See Section 9 for full details.
3. Payment Terms
One-Time Projects
- Deposit: 50% due before work begins.
- Final Payment: Remaining 50% due upon delivery.
- Full Upfront Option: 100% payment upfront available at a discounted rate (as quoted).
Monthly Maintenance Subscription
The $47/month fee is billed automatically on the same calendar day each month.
Auto-Renewal Disclosure: This is a recurring subscription that automatically renews each month until cancelled. You will be charged $47 per month on a recurring basis. You may cancel at any time with 30 days written notice per Section 3.3.
Cancellation of Monthly Subscription
Send written cancellation notice to [email protected] at least 30 days before your next billing date. Cancellation takes effect at the end of the current paid period. No partial-month refunds are issued.
4. Refund Policy
One-Time Projects
- Within 24 hours of payment, before work begins: Full refund available.
- After work begins: No refunds. The deposit is non-refundable once substantive design or development work has started.
Monthly Maintenance
No refunds for partial months. See Section 3.3 for cancellation.
Disputes
Contact [email protected] within 30 days of any disputed charge. We respond within 10 business days. Chargebacks initiated without prior contact may result in service suspension.
5. Delivery Timelines
- Standard (Starter/Professional): Initial delivery within 5–7 business days of receiving your deposit and all required materials.
- Expedited (Premium): Initial delivery within 3–5 business days.
Timelines assume timely receipt of client materials. Delays caused by Client extend the timeline proportionally.
6. Client Responsibilities
To keep your project on track, you agree to:
- Provide all required brand assets, content, and materials within 48 hours of request.
- Provide written feedback or approval on each design round within 48 hours of delivery.
- Grant final approval before site launch.
- Ensure all content you provide does not infringe third-party rights.
7. Revisions
- Included: 3 revision rounds per project. A round is one consolidated set of feedback resulting in one set of changes.
- Additional rounds: $75 per round (or the rate in your project agreement).
Changes that substantially alter the original scope are treated as new scope and quoted separately.
8. Intellectual Property
Your Ownership: Deployed Website
Upon receipt of full final payment, you own the deployed website output: published text, images, and design as delivered.
Our Retained Rights: Source Files
Alma Digital AI LLC retains all source files, design working files, templates, AI prompts, frameworks, and underlying tools. These are not transferred to you.
AI-Generated Content
Deliverables may include AI-generated content. We make no warranty that AI-generated content is free from third-party rights claims. You are responsible for reviewing AI-generated content before publication.
Your Content License to Us
You grant us a limited, non-exclusive license to use materials you provide (logos, images, copy) solely to deliver your project.
Portfolio Rights
We may display completed projects in our portfolio and marketing materials unless you request otherwise in writing before project completion.
9. AI Processing Disclosure
Use of AI Tools
Our services use AI and automated tools to generate website designs, copy, and layouts. All deliverables are reviewed by Company staff before delivery.
EU/EEA Clients
- You may request human review of any AI-generated deliverable. Contact [email protected].
- We do not use fully automated individual decision-making with significant legal effects as defined under GDPR Article 22.
- Our AI tools operate under human oversight at all times.
Data in AI Processing
Project information you provide (business name, website URL, preferences) may be processed through AI tools to generate your deliverables. See our Privacy Policy at almadigitaldesigns.com/privacy-policy.
10. Limitation of Liability
Liability Cap
Our maximum liability for any claim under these Terms is limited to the total fees you paid for the specific project or service giving rise to the claim.
No Consequential Damages
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, data loss, or business interruption.
Disclaimer of Warranties
The services are provided as is and as available. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Governing Law and Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
Informal Resolution
Before formal dispute proceedings, both parties agree to attempt good-faith resolution in writing, allowing 30 days for response.
Arbitration
Unresolved disputes shall be resolved by binding individual arbitration under AAA Commercial Arbitration Rules. Class action and class arbitration are expressly waived.
Small Claims
Either party may bring an individual claim in small claims court within that court jurisdiction.
12. Termination
By You
You may terminate a one-time project at any time. Termination after work begins forfeits the deposit. Monthly subscription termination is governed by Section 3.3.
By Us
We may terminate services with written notice for: non-payment, abusive or fraudulent conduct, or material breach uncured within 10 business days of notice.
Effect of Termination
Upon termination, all outstanding fees become immediately due. Sections 8, 10, 11, and 13 survive termination.
13. General Provisions
Entire Agreement
These Terms, together with any executed project agreement, constitute the entire agreement and supersede all prior understandings.
Modifications
We may update these Terms at any time. Updated Terms are posted at almadigitaldesigns.com/terms. Material changes affecting active projects will be communicated by email. Continued use constitutes acceptance.
Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
